1. Who these terms are for
These terms are an agreement between you and BagDrop AI, Inc. ("BagDrop", "we"). They apply to you if you use BagDrop as a member of a private club that offers it (your "Club"), or as staff of a Club using the console. By using BagDrop you accept them.
A Club's own relationship with us — what it pays, what we promise it, how its data is handled — is set out in a separate Club Agreement. Where these terms and a Club Agreement conflict as to a Club's rights or obligations, the Club Agreement controls.
2. Eligibility and access
You may use a Club's concierge only if that Club lists you on its roster, and its console only if that Club has given you a staff login. Your Club grants and revokes your access, and what the concierge may tell you depends on your standing at the Club, which comes from the Club's own records. If your membership lapses or ends, your access changes on the Club's next update to us. We have no way to grant access ourselves, and we don't offer accounts to the public.
You must be an adult member of a Club, or a junior member the Club has enrolled with whatever consent its own rules and the law require. BagDrop is not directed to children under 13.
3. Signing in
Members sign in with a one-time code or link sent to the email address on the Club's roster, or by continuing with a Google account that uses that address. A code is for you alone: it is single-use, expires in ten minutes, and only works in the browser that asked for it. Club staff may hand you a sign-in link at the club, which signs in whoever opens it, so treat it like a key.
Staff sign in with a password or with Google. Keep your password to yourself, don't share a console session, and sign out on a shared device. You are responsible for what is done under your sign-in until you tell your Club or us that it may have been compromised.
4. What the concierge is, and isn't
You are talking to software. The concierge is an automated assistant that answers from the information your Club has given it. It is built to say when it isn't sure and to hand you to a person at the Club rather than guess — but it can still be wrong, incomplete or out of date.
Your Club has the final word. Its official policies, fee schedules, hours and staff decisions control over anything the concierge says. If something matters — a guest fee, a dress rule, a closure, a deadline — confirm it with the Club before you rely on it.
The concierge answers questions about your Club. It does not give legal, medical, financial, tax or other professional advice, and nothing it says should be taken as any. It has no access to your account balance, statements or dues, and will say so if asked. It is not an emergency service; in an emergency, contact the Club or emergency services directly.
5. Requests it carries out for you
Where your Club has connected one of its systems — a tee sheet, a dining book, a court or lane calendar — the concierge can check availability and, on your instruction, book, change or cancel a reservation for you, and will confirm what it did by reading the Club's system back. Where the Club hasn't connected a system, the concierge passes your request to Club staff, and a person carries it out or tells you it couldn't be done. Either way:
- Every reservation, registration or arrangement is subject to your Club's rules, availability and confirmation. The concierge acts on your behalf under the Club's own systems; it does not create obligations on BagDrop's part.
- Nothing is done until you ask for it. If you ask the concierge to keep watching for something, or to make a standing arrangement, it will do so only while your Club has agreed to service that kind of request, and it will tell you what it is doing and why.
- Any charges, fees or penalties that follow from a reservation are between you and your Club. BagDrop takes no payment and holds no payment details.
6. People in the conversation
Your Club's staff can read your conversations with that Club's concierge, and can join one to answer you directly. You will see when a person has replied. What you say may be read by staff, so speak to the concierge as you would to the front desk. Messages are processed by our AI provider to generate replies, as described in our Privacy Policy.
7. What you agree not to do
- Use BagDrop for anything unlawful, or to harass, threaten or abuse anyone, including Club staff.
- Try to see another member's information, or to get the concierge to reveal, act on or look up anything it has not been given about somebody else.
- Try to make the concierge act outside its authority, ignore its instructions, or carry out something for you that the Club has not permitted — including by pasting text that pretends to be from the Club or from us.
- Probe, scan or test the service for weaknesses, interfere with it, or access it by automated means, except as we've agreed in writing.
- Impersonate another member or a staff member, or share or sell your access.
- Copy, scrape or resell the Club's information or our software.
Misuse may lead your Club to revoke your access, or us to suspend it. If you find a security problem, we would rather hear about it than have it exploited: write to security@bagdrop.ai.
8. Your content, the Club's content, ours
What you write is yours. You give BagDrop and your Club permission to store it, show it to the Club's staff, process it with our AI provider, and use it to answer you and to remember the preferences you state or confirm — for as long as we hold it under the Privacy Policy, and for no other purpose.
The Club's knowledge is the Club's. Its documents, facts, calendar and the answers built from them belong to the Club, and are shown to you under the Club's rules about who may see what. Don't republish them without the Club's permission.
BagDrop is ours. The software, its design and its name belong to BagDrop and its licensors; the Club's name, crest and colours belong to the Club. You may use BagDrop for its purpose and nothing here gives you any other right in it. If you send us suggestions, we may use them without obligation to you.
9. Messages from BagDrop
We email you sign-in codes and links, and we tell you when a person at your Club has replied. If you allow notifications on your device, you'll get those there instead. The concierge gets in touch about other things only when you have asked it to watch for something, and only about that; you can stop it at any time by asking, or by asking Club staff. These messages are sent under your Club's name because they are the Club speaking to you, through us.
10. Privacy
Our Privacy Policy explains what information reaches us, what we do with it, who can see it, and your choices. It is part of these terms.
11. Ending access
You can stop using BagDrop at any time. Your Club can end your access at any time, and we can suspend or end it if you break these terms or if we reasonably believe your use threatens the service or other people. If a Club stops using BagDrop, its members' and staff's access ends with it. What happens to your information afterwards is described in the Privacy Policy. Sections 7, 8, 12, 13 and 14 survive the end of your access.
12. Disclaimers
BagDrop is provided "as is" and "as available". To the fullest extent the law allows, we make no warranties, express or implied, including of merchantability, fitness for a particular purpose, accuracy or non-infringement. In particular, we don't warrant that the concierge's answers are correct, complete or current, that any request it carries out will succeed, or that the service will be uninterrupted or error-free. Some jurisdictions don't allow certain warranty exclusions, so some of these may not apply to you.
13. Limits on liability
To the fullest extent the law allows, BagDrop and its officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data or goodwill, arising from your use of BagDrop or from anything the concierge said or did. Our total liability to you for all claims relating to BagDrop is limited to the greater of one hundred US dollars and the amount you paid us in the twelve months before the claim. Nothing in these terms limits liability that cannot be limited by law, including for our own fraud or gross negligence, or your rights as a consumer where they can't be waived.
Your Club is responsible for the information it gives the concierge and for the decisions its staff make. BagDrop is not a party to your membership or to any reservation, charge or arrangement between you and your Club.
14. Governing law and disputes
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. Any dispute that we can't resolve informally will be brought in the state or federal courts located in Delaware, and you and we consent to their jurisdiction. Before going to court, write to us; most problems are quicker to fix than to litigate.
15. Changes to these terms
We may change these terms. When we do, we'll update the date at the top and, for changes that matter, tell your Club and post a notice in the concierge. Using BagDrop after a change means you accept the updated terms. If you don't, stop using BagDrop and tell your Club.
